Description
We are searching for an attorney to support BlackRock's suite of collective investment funds (CIFs), with a focus on providing legal advice with respect to fund formation, disclosure documents, governance matters and portfolio management matters. The candidate must be able to directly manage, coordinate, and advise across a wide variety of business and operations teams on CIF related regulatory, compliance and commercial issues and risks.
Responsibilities
Provide legal advice in connection with the launch of new CIFs and changes to existing CIFs, including legal advice related to fund formation, disclosure documents, governance matters and portfolio management matters.Draft various CIF governing and disclosure documents, maintain these CIF governing and disclosure documents by conducting appropriate review and update initiatives, and support business and operations teams in ensuring consistency with these CIF governing and disclosure documents.Coordinate closely with the team of paralegals who support the drafting and maintenance of CIF governing and disclosure documents.Coordinate closely with other internal teams of lawyers/paralegals who have similar disclosure related responsibilities for other types of pooled funds, to ensure consistency across disclosures as appropriate.Coordinate closely with outside counsel on disclosure related engagements.Provide legal advice on a variety of legal issues relating to CIF more generally and the provision of investment management, securities lending and other fiduciary services to institutional clients.
Requirements
J.D. with at least five years' experience as a lawyer in a major law firm or in the legal department of a leading financial services organization.Experience with the U.S. federal securities laws that pertain to investment management and investment companies (including the Investment Advisers Act and the Investment Company Act) and with U.S. bank fiduciary laws and regulations. Familiarity with ERISA is beneficial but not required.Experience advising collective investment funds and/or mutual funds, including experience drafting fund and investment adviser governance and disclosure documents.Exceptional analytical, written, verbal and project management skills and ability to (i) work with and across different business and operations teams, (ii) work effectively both independently and as a member of team, (iii) work in a demanding and fast-paced environment, and (iv) prioritize multiple tasks and projects concurrently while maintaining high standards and attention to detail.
