BlackRock's Legal and Compliance team works with business teams to develop investment management products and business solutions that comply with the numerous legal and regulatory requirements to which BlackRock is subject and to deploy capital managed on behalf of clients. Legal and Compliance is responsible for, among other things, overseeing regulatory matters; coordinating litigation and legal proceedings; negotiating and structuring contracts and other complex transactions; providing ongoing legal advice across investment platforms regarding new and existing products, strategies and investments; establishing legal and compliance policies and procedures that meet applicable regulatory requirements and testing the operative effectiveness of those policies and procedures and conducting training.
Brief Description of the Role:
We are seeking a high quality capital markets and private equity transactional lawyer to provide legal coverage of transactions and investments across the BlackRock APAC capital markets and private equity investment platforms. This role will be responsible for supporting activities relating to equity investments in the APAC region, including co-investments, growth equity investments, pre-IPO investments, cornerstone investments and placings, among others. The individual will need to grow and adapt with the fast growing business of the BlackRock APAC capital markets and private equity investment platforms and be willing to develop new skills and knowledge.
The ideal candidate must have the ability to coordinate complex transactions and projects involving different business groups and multiple products, such as mutual funds, separate accounts, private equity funds and hedge funds.
Responsibilities:
Act as transaction counsel on all APAC capital markets and private equity investments, manage transaction execution, review and negotiate a wide range of investment related documentation.Review, draft and negotiate investment-related documentation including shareholders' agreements, limited partnership agreements, share purchase agreements, cornerstone agreements, term sheets, commitment letters, placing letters, sub-underwriting agreements, representation letters, hold harmless letters, NDAs and other similar investment-related documentation.Work closely with investment managers and other investment professionals around the world and provide legal advice and support relating to capital markets and private equity investments in APAC.Engage with regulators, stock exchange and industry groups to advocate for BlackRock's initiatives and respond to consultation papers.Provide advice and support to internal stakeholders in developing, establishing and enhancing internal processes.Work closely with Compliance colleagues to ensure that the business understands and acts in accordance with best practices for compliance with laws and regulations.Work closely with Legal and Compliance colleagues globally to ensure consistency in advice and practices.Effectively engage and manage external counsel, including cost management.
Knowledge/Experience:
A Hong Kong, English, Australia, Singapore or New York (or other U.S. state) qualified lawyer with 3 to 6 years PQE.Candidates from high calibre law firms or the legal departments of asset management companies or investment banks are preferred.Demonstrated experience in capital markets and private equity investment transactions in APAC is essential.Strong knowledge and understanding of APAC capital markets and private equity industry practices and applicable regulatory regimes is essential.Strong knowledge of the Hong Kong regulatory regimes is preferred.Excellent communication and relationship-building skills and strong ability to build relationships across diverse internal stakeholder groups at all levels of management.Proactive approach to leading, taking ownership and driving change.Strong project management skills.Excellent proficiency in English and Chinese, other Asian language capability is a plus.
