Edwards Lifesciences ("Edwards") is seeking an experienced legal contracts professional who is looking to join a dynamic and fast-paced in-house legal department to support the future of growth of Edwards. We are looking for someone who has excellent contracts management skills, produces high-quality work product, demonstrates initiative, and works with minimal supervision. This person needs to meet deadlines, be able to handle multiple projects needs simultaneously, and have strong attention to detail and understanding of contract processes and related contracts management software applications (e.g., contract lifecycle management ("CLM") systems). The Advanced Technology ("AT") Sr. Legal Analyst is responsible for assisting with the company's existing contracts system and will also be a key member of the Enterprise Contracts Lifecycle Integration of Processes and Systems at Edwards ("ECLIPSE") program team and involved in implementing a new CLM technology and related processes. In addition to support Edwards AT business unit, this individual will support the organization's new contracts center of excellence ("CoE") function and will work to improve enterprise contracting processes and support overall operational effectiveness. The AT Sr. Legal Analyst will report into the corporate office of Edwards Global Law Department.
How you will make an impact ...
Support the AT business unit, in coordination with the CoE, by managing contract workflow from contract initiation through execution.Support the AT business unit with the initiation, review, redlining, and negotiation of a broad range of transactional contracts, as needed, including, but not limited to, master service agreements (MSAs) and related SOWs, agreements with Healthcare Professionals, investigator-initiated study (IIS) agreements and other external funding agreements, and confidentiality or non-disclosure agreements (NDAs) based upon contract playbooks and/or feedback from subject matter experts. Coordinate legal review in conjunction with functional contract advisor leads (e.g., corporate counsel, procurement/sourcing, compliance, risk management, information security, etc.)Responsible for learning and understanding the AT business unit products, business model, strategy, etc. in order to develop a deep understanding of the AT business unit's contracting needs.Support the development of key contracts management metrics and perform analytics, as needed.Develop strong business relationships with key stakeholders and implement creative solutions with the focus on simplifying existing processes.Collaborate with key subject matter experts to receive and provide guidance on contract terms and conditions while also identifying risks and communicating to key stakeholders.Analyze contract terms and conditions, determine the need for contract amendments or renewals; evaluate prior terms and conditions and make recommendations and/or negotiate changes within guidelines.Support the on-boarding of contingent workers in compliance with Edwards Contingent Workforce Program policies and guidelines.Manage and coordinate vendor on-boarding and due diligence for new counterparties (e.g., obtaining W-9 and required paperwork, opening and managing purchases order in Coupa, etc.).Participate in key AT, Legal and CoE meetings, as well as required workshops and trainings to drive overall compliance to Edwards policies and procedures as it relates to contracting.Assist Legal and CoE with managing playbooks, templates, and clause libraries.Performs other duties and responsibilities as needed, requested, and/or assigned.

What you'll need (Required):
Bachelor's DegreeMinimum of 5 years of experience in contracts management, with a strong understanding of processes and procedures relevant to the subject matter of contracting, legal operations, and contracts management.A strong working knowledge of all legal aspects of contracting and the ability to understand contract language and quickly identify and communicate any risks or liabilities to relevant stakeholders.Excellent independent problem-solving, analytical, investigative, and critical thinking skills.Excellent organizational and computer skills, with proficiency in the MS Office Suite, including Excel.Ability to work under pressure and prioritize projects and tasks appropriately.Strict attention to detail.Excellent facilitation and presentation skills.Ability to be a team player and a trusted business partner.Excellent written and verbal communication skills.Experience working in complex, matrixed, and global business environment.Ability to adapt to new technologies and a rapidly changing business environment.
What else we look for (Preferred):
Paralegal or Contracts management Certification or J.D. background or at least 2 years of working in a legal department.At least 5 years of experience in the areas of contract lifecycle management, legal operations, or other enterprise system implementations.Familiarity with healthcare regulations (e.g., Sunshine Act) related to contract arrangements with Health Care Providers.Background in the medical device, pharmaceutical, or related healthcare industry preferred.

For California, the base pay range for this position is $86,000 to $121,000 (highly experienced).
The pay for the successful candidate will depend on various factors (e.g., qualifications, education, prior experience).
