Our ideal candidate is comfortable working with all levels of management to gain an in-depth understanding of our strategy and services. They will maintain the highest professional and ethical standards, have excellent time management, organization, and decision-making abilities, be able to prioritize projects and deadlines, be collaborative, and accountable while performing in a fast-paced and evolving environment.
This is a remote role where you will work off-site. Travel is limited and generally used for team learning and collaboration meetings.
Key Responsibilities:You will prepare, review and negotiate complex commercial contracts such as master services agreements, mutual fund company services agreements, custodial and directed trustee services agreements, non-qualified employee benefit plans, including the review of existing third party trust provider agreements for successor trustee engagements, trust mergers, discretionary trustee engagements, customer insolvency events, and change in control matters and other business-related documents.Knowledge of Erisa and broader retirement issues.You will solve unique and complex commercial, legal and client regulatory issues with impact on the business unit or function and through conceptual and innovative thinking to develop solutions.You will assist with regulatory audits, inquiries and subpoenas received from federal and state government offices.You will assist with internal and external audits and inspections for all subsidiaries and affiliates, including broker dealer, SSAE16 audits and AML audits.You will review business practices and policies and advise management of potential risks and mitigations.You will analyze various legal and business issues, discuss with subject matter experts, and advise business leaders.You will support and advise business development and sales teams in creating and selling new products and services.You will evaluate matters which may have a major bearing on the conduct of our organization's business.Qualifications:It is required that you are licensed to practice law in the U.S. and a member of the bar in good standing.A minimum of 4 years' experience as a corporateor transactional lawyer in a top tier law firm or part of that experience in a relevant in-house financial services practice, ideally with a bank or trust company.J.D. from a top tier law schoolKnowledge of investment advisory industryKnowledge of ERISA and applicable DOL rulesStrong contract drafting and negotiation experience is required.Requires ability to anticipate internal and external business challenges and/or regulatory issues; recommend process, product or service improvements; solve unique and complex problems that have a broad impact on the business; contribute to the development of functional strategy; lead project teams to achieve milestones and objectives.Skilled at communicating, both verbally and in writing, with customers and at the senior leadership-level.Skilled in the use of Microsoft Word, and Outlook.Ability to manage multiple tasks simultaneously within strict deadlines and with a high degree of accuracy.Ability to participate as a member of a team, assisting in other projects as needed or as assigned.Compensation and Benefits:Salary Range: 160,000 - 180,000 depending on experience. Compensation may vary outside of this range depending on a number of factors, including a candidate's qualifications, skills, competencies and experience, and location.
