This individual will provide temporary support for the Securities and Corporate Governance practice group in the Legal Department, including support concerning a broad range of corporate matters including board and corporate governance processes, SEC reporting, and other general corporate matters, including state annual reports. The ideal candidate is highly motivated, organized, and a quick study with a proven track record of working directly with attorneys as a corporate governance paralegal and has demonstrated experience related to corporate governance, securities, maintenance of corporate books and records, and board and executive matters. The candidate must possess good judgment and a strong ability to operate independently with minimal supervision. Maintain Deltas Board and Committee meeting materialsSupport for compilation and distribution of Board meeting materialsPrepare Board and Committee self-evaluation forms and work with attorneys to compile feedbackPrepare Board and Executive annual questionnaires and work with attorneys to review and summarizeTrack Board meeting attendance and coordinate quarterly paymentsGeneral Corporate responsibilities include:
Maintain minute books for Delta and its SubsidiariesSupport the formation and qualification of SubsidiariesManage Annual Reports in states where our client and its subsidiaries do businessAdditional Support Possibilities In addition to the primary responsibilities above, the part-time Corporate Paralegal may provide support on the following:
