Job Description
Primary Purpose:
Assists the Corporate Secretary and Assistant Corporate Secretary in the recordkeeping of the Company's registered shareholders and in the administration of the Company’s Long-Term Incentive Plan and Directors’ Benefit plans.
Principal Duties:
Responsible for the oversight of our transfer agent who is responsible for stockholder recordkeeping activities of Norfolk Southern and various subsidiaries.
Acts as dividend disbursing agent and transfer agent for subsidiary companies.
Responsible for the daily administration of the Company’s equity plans and for producing confidential reports related to the plans for numerous departments
Uses an on-line computerized recordkeeping system to access historical records of stockholders
Trains personnel in the use of said system and functions as system administrator Responsible for compliance with regulations of Security Exchange Commission, Financial Industry Regulatory Authority, New York Stock Exchange, and Internal Revenue Service, State Escheatment Laws and with controls set forth in the Norfolk Southern Compendium of Internal Accounting.
Plans, develops procedures, and arranges for mergers, stock splits, redemptions, calls, buybacks, annual meeting of shareholders, special shareholder meetings, and any other stock activity directed by management.
Responsible for responding to all stockholder inquiries.
Interacts with all levels of executive management, support staff, shareholders, and others, with the strictest confidence, professionalism, and respect.
Job Related Experience:
Minimum Level: 2 - 5 yearsEducation:
Preferred Level: Bachelor’s Degree
