About Legal Director, Videojet China

  The Videojet China Legal Director will be responsible for providing leadership, guidance, direction, and assistance in connection with a wide variety of legal, regulatory, compliance, IP and business matters in China. This is a hands-on role where both tactical execution and longer-term strategy are important. A contract manager will report to this role.

  ESSENTIAL DUTIES AND RESPONSIBILITIES:

  Gaining a solid understanding of the various businesses in China, their goals, and challenges and identifying appropriate legal and compliance strategies to facilitate those goals and minimize those challenges. Assisting the business with proactive and operational advice to ensure a clear contracting process and relationship with customers, suppliers and distributors. Negotiating, strategizing, documenting and approving commercial transactions, contracts, and other legal arrangements including end user, distribution, OEM and suppliers including Open Innovation Partners. Assisting with the development and implementation of policies and programs relating to anticorruption, compliant business practices and competition rules, including managing the screening, approval, monitoring, training and audit plan for third-party resellers (distributors, integrators, OEMs, etc.) and suppliers. Enhancing the integrity in the business and the associates’ activities, including training the associates, drafting and publishing internal rules. Working with the global compliance team and Veralto China to identify and mitigate compliance risks and develop appropriate countermeasures. Conduct compliance related investigations and implement action plans to remediate identified issues. Managing IP enforcement actions; being a critical team member in formulating an appropriate IP strategy for China and investigating and leading IP actions (trademark, patent, unfair competition, etc.) Ensuring international trade compliance requirements are followed. Providing legal support and advice relating to business models, employment, and corporate structure. Developing appropriate approaches to dispute resolution, lawsuits, and arbitrations; providing regular, clear communication of litigation issues and opportunities. Assist HR colleagues with labor law support. Selecting appropriate outside counsel and working closely with them, including managing budgets appropriately. Integrating new businesses into our legal and compliance process in the event of acquisitions. Willing to work on the smallest and simplest, as well as the most complex, legal matters faced by the company. Primary role is supporting Videojet but will also assist other PQI businesses and other Veralto China business as needed.

  Role with be focused on China, but opportunity exists in the future to expand role to support other Asia countries depending on experience.

  MAJOR OBJECTIVES AND CRITICAL SUCCESS FACTORS:

  High sense of compliance, integrity and transparency. Ability to working independently on multiple issues and prioritize to achieve goals efficiently. Ability to work in a matrixed organization with business leaders from different businesses and across our larger corporate structure. Must be an excellent lawyer, able to explain complex legal points to business leaders with varying degrees of sophistication about legal matters; able to take business leaders’ concerns and demands into account in how best to pursue legal strategies. Intelligent and articulate; nimble and quick-minded; able and willing to engage in debate; unwilling to accept unethical conduct or outcomes that threaten the business. Must understand how to transform compliance requirements to business advantage. Ability to adapt to a face paced and high-performance and lean environment with a strong culture of continuous improvement. Strong team player, demonstrating flexibility in undertaking responsibilities as assigned for other Veralto China business. Be able to work effectively with lower level employees, yet communicate with effectiveness and polish at the most senior levels. Tough-minded but able to be flexible when necessary to come up with alternative solutions to complex problems; able to think on feet; ability to engage in critical discussion without personalizing outcomes. High integrity and ethics in all dealings – internal, external, and personal; non-political in conduct. Open to learning, sense of humor. Personal modesty combined with highest professionalism for the company.

  EDUCATION AND EXPERIENCE

  A law degree from a Chinese law school, preferably one recognized for graduating top lawyers. Qualified to practice law in PRC. Additional oversees legal education from US or EU a strong plus. At least 10 years working experience in an international law firm or in a multinational company in China, or combination of the two is preferred. Experiences in overseeing North Asia (Japan, Korea) is a plus. Experience in-house preferred; some experiences that suggest an ability to hit ground running in an “start-up” function in a complex, matrixed organization is a must Extensive exposure to and success in a dynamic business environment Substantial responsibility in various areas of law and/or business Ability to travel domestically and internationally as needed, depending on location of residence perhaps as much as 25% of time. Fluency in Mandarin and strong fluency in written and spoken English required. Skill of using Microsoft software (Word, PowerPoint and Excel)
