Position Details:
The Legal Contract Manager serves as an important member of the recently established Contract Center of Excellence, which is responsible for the enterprise-wide contracting needs of the company. We are looking for a Legal Contract Manager to join our legal team who embraces a curiosity-driven, business-enabling mindset and will assist the business in the drafting, review, and negotiation of agreements. Your primary focus will be on technology related agreements such as Software License Agreements, Cloud, Software as a Service (SaaS) agreements, Professional Services Agreements, outsourcing agreements, open-source licenses, and other complex technology transactions. However, you will also support the enterprise on other commercial agreements with appropriate attorney and business support.
You will report to the Corporate Counsel.
You Will:
Generate agreements from standard approved templates.Draft, review and negotiate (with appropriate attorney oversight) a variety of technical and commercial contracts, ensuring accuracy, clarity, and alignment with our business objectives.Support continuous improvement by implementing new processes, document templates, playbooks, and training materials.Collaborate with other team members in Grainger's legal team (including legal counsel responsible for contract negotiations and intellectual property management) and other members of the Grainger Corporate Affairs team.Liaise with procurement/vendor management and Grainger technology partners to answer questions about processes, matter status, contracts and other Center of Excellence inquiries.Work together with senior members of Grainger's Corporate Affairs team on project-based legal assignments and initiatives. Assist with Corporate Affairs department projects.
You Have:
At least a bachelor's degree from a 4-year accredited university or college.7+ years of experience in contract management positions in distribution (industrial, commercial, or retail) or manufacturing.Understanding of commercial contract terms, legal language, and risk assessment.Track record in reviewing, revising, and negotiating a diverse range of contracts.Integrity and commitment to the highest ethical standards and personal values.A team orientation and maintain a "can do" attitude. You can get along with diverse corporate professionals and work with personnel at all levels. The capability for advancement beyond this role.A client focus and ability to inspire trust.
