Summary:
The Director of Corporate Development is responsible for leading and overseeing initial evaluation, diligence and integration process for pivotal initiatives, such as mergers and acquisitions, that align with the strategic objectives of Allison. This individual also plays an integral role in collaborating across the organization to align critical initiatives with objectives. This position requires the ability to solve complex problems that could influence multiple functions and the organization's long term strategic direction.
Essential Functions:
Identify growth opportunities and create financial modelling for business valuations to assess M&A alignment with corporate strategic objectives
Evaluate and implement opportunities that align with organizational corporate objectives, including potential mergers and acquisitions.
Regularly monitor and analyze medium to long-term business trends/outlooks that potentially impact strategic business planning discussions with leadership.
Develop and maintain relationships with key partners, both internal and external.
Collaborate closely with functional leaders and senior management to create and implement strategic objectives.
Plan, conduct, and oversee transaction due diligence and integration efforts; working with functional integration leaders during the transition period.
Support functional integration teams to lead their charters and alignment with transaction objectives.
Evaluate the risks associated with an integration and mitigate them to the most reasonable extent possible.
Capture lessons learned and recommendations for future acquisitions.
Develop, maintain, and update an M&A playbook focusing on pipeline management, corporate diligence and integration plans; In conjunction with cross-functional and appropriate software platform support.
Lead cross-functional teams focused on specific business and corporate development projects.
Maintain regular communication with senior management and executive leadership.
Key Performance Measures:
Demonstrate support of corporate priorities for inorganic growth through target down-select efforts within the Conventional, Adjacency, and EV areas of focus.
Demonstrate leadership in the due diligence and financial evaluation of target down-select opportunities
Support other inorganic areas of focus as needed.
Demonstrated support and management of integration for any completed acquisitions: oversee playbook development, team identification, and reporting.
Development of members of the M&A team in the area of M&A process screening.
Qualifications:
Bachelor’s degree in Business, Finance, or a related field. MBA or other advanced degree is preferred.
Proficient in Microsoft Office Suite.
Familiarity with CRM systems and databases.
Experience with project management software is a plus.
Evaluating and financial modeling of potential merger, acquisition, divestment, partnership and joint venture opportunities
Experience in mergers, acquisitions, and general corporate development activities.
Proven program / project management abilities.
Demonstrated ability to solve complex problems that could potentially impact multiple departments.
Exceptional communication skills, capable of influencing and pitching to executive leadership.
Skills/Experience:
Minimum 7 years of relevant experience in a similar field or role.
Consistent track record in leading and implementing corporate development projects.
Experience in mergers, acquisitions, and general corporate development opportunities.
Proven program and project management experience.

Primary focus: M&A: Evaluation and financial modeling of potential merger, acquisition, divestment, partnership, and joint venture opportunities
No budget responsibility, but will have input to the group budget managed by Managing Director
High level of internal and external visibility
Travel / Physical Demands:
Periodic travel may be required. This may occasionally include overnight stays or international travel.
Ability to work traditional business hours with occasional flexibility required.
Should be able to comfortably use computer and related equipment for prolonged periods.
