As Counsel, you will be responsible for providing both strategic and tactical and solutions-oriented legal services to Beckman Coulter Life Sciences’ global businesses with a focus on commercial operations and driving growth. The position may be based at Beckman Coulter Life Sciences’ Indianapolis, IN, San Jose, CA, or Loveland, CO locations or may be remote. The position will report to the Assistant General Counsel. Working directly with business leaders and colleagues in the legal department, the successful candidate will provide the highest level of legal and compliance support to Beckman Coulter Life Sciences. A successful candidate will have experience working on global or regional teams and will be expected to understand the importance of operating with a global mindset and models global and cultural sensitivity. The successful candidate will be expected to perform a variety of hands-on legal work with the focus on drafting, reviewing, and negotiating agreements. The Senior Counsel will develop a good understanding of Beckman Coulter Life Sciences’ business and possess the ability to evaluate and balance both legal and business factors when providing advice.
Core Responsibilities:
Review, draft, and negotiate complex commercial contracts - Sales, Procurement, Distribution, Collaboration, Services, Consulting, Confidentiality, and other types of agreements, such as complex distributor, sales, Software as a Service (SaaS) contracts, RFP, public tenders, supply, licensing, and joint development agreements - to meet the contractual requirements established by the Company.
Improve the quality and speed of existing BEC LS processes and procedures.
Establish, update, and maintain global contract templates to be used by Legal Function and clients.
Counsel business team members on commercial matters that may include compliance and data privacy issues
Assist with M&A from due diligence to documentation and integration depending on the situation and background.
Building collaborative relationships within the Beckman Coulter Life Sciences’ legal team and Danaher’s legal community.
Draft and maintain standard work, policies, and procedures authored by the Legal team
Identify and implement process improvements and lead projects for the Legal team
Coordinate matters and work closely with the IP, Compliance, Regulatory, and Data Privacy counsel
Depending on prior experience and interest to expand the scope of responsibilities, assist with managing litigation and/or regulatory matters for the Company and/or advise on general compliance questions and questions under local civil, commercial, corporate, conflicts of interest, data protection, and privacy laws.
Over time, additional responsibilities could be added depending on interest and experience level.
Requirements:
Juris Doctorate degree from an ABA-approved law school with the license in good standing to practice law in at least one US jurisdiction.
Minimum of 3 years of relevant experience as an in-house counsel or a combination of law firm practice and in-house experience
Highly proficient with commercial contract drafting and negotiations, including responding to bids authored by government procurement agencies
Willingness to work on the smallest and simplest, as well as complex legal matters faced by the company.
Experience with counseling business team members on a variety of commercial matters to ensure compliance with applicable laws and regulations, and minimize liability exposure and risk
Demonstrated experience with identifying gaps in processes, process improvement, and crafting standard work
Demonstrated experience with drafting and implementing policies and procedures
Demonstrated experience with leading projects, meeting deadlines, and solving problems
Demonstrated ability to work independently with minimal supervision in a fast-paced environment

The salary range for this role is $106,400-$125,000. This is the range that we in good faith believe is the range of possible compensation for this role at the time of this posting. We may ultimately pay more or less than the posted range. This range may be modified in the future.
This job is also eligible for bonus/incentive pay.
