Responsibilities
Oversee and manage the company's SEC filings, including current reports (Forms 8-K), periodic reports (Forms 10-K/10-Q), registration statements, and confidential treatment requests. Ensure compliance with disclosure requirements, manage certification processes, and coordinate with internal stakeholders.Lead the preparation, distribution, and execution of Proxy Statement and Annual Meeting materials. Draft disclosures, manage associated processes, and coordinate with various stakeholders. Maintain beneficial ownership information and handle Virtual Stockholder Meeting logistics.Manage the preparation and submission of Section 16 filings, including coordinating data receipt, maintaining EDGAR codes, and communicating ownership information and filings with relevant company personnel.Oversee the drafting, reviewing, and filing of Schedule 13Ds and Canadian Early Warning and Insider Reports. Conduct diligence queries with internal and external stakeholders.Manage the company's corporate governance program, including drafting briefing materials and resolutions for Board/Committee review, supervising the Director and Officer questionnaire process, and maintaining accurate records of all Board and committee meeting minutes. Collaborate with external service providers for timely processing of securities transactions and manage cash dividend declaration processes. Manage NYSE Compliance matters and assist with policy compliance matters as needed.
Qualifications
Bachelor's degree required; advanced degree or certification in corporate governance or securities compliance preferred.A minimum of 12 years of experience in corporate governance and securities compliance, with significant experience in corporate law and securities.Expertise in SEC filings and regulations, corporate governance issues, and securities transactional matters.Proficient in the use of Microsoft Office Suite and legal research platforms like Westlaw; Practical Law Connect.Experience with SEC filing platforms for periodic reports, current reports, and Section 16 reporting, preferably Workiva, and electronic Board portals, preferably Diligent.Strong written and verbal communication skills, with the ability to exercise independent judgment and discretion in complex legal matters.

The salary range for this role is:
$82,700.00 - $126,700.00
This is the lowest to highest salary we in good faith believe we would pay for this role at the time of this posting. We may ultimately pay more or less than the posted range, and the range may be modified in the future. An employee's pay position within the salary range will be based on several factors including, but limited to, the prevailing minimum wage for the location, relevant education, qualifications, certifications, experience, skills, seniority, geographic location, performance, shift, travel requirements, sales or revenue-based metrics, any collective bargaining agreements, and business or organizational needs.
