Your team responsibilities
The members of the Corporate Secretarial team (the "CoSec Team") work in close coordination with MSCI's HR, Finance, Tax, Treasury, Corporate Development and Corporate Services teams to manage compliance-related corporate-secretarial matters across the globe.

Your key responsibilities
You would be expected to work closely with the Corporate Secretarial team managing the EMEAI Region. Your job responsibilities would mainly include:
• managing the corporate secretarial matters of the entities based in the EMEAI Region (viz, regions including but not limited to South Africa, India, Germany, UK, Netherlands, Sweden, Switzerland, etc.). This would comprise of convening Board meeting and shareholders meetings for entities based in the EMEAI region, preparing minutes and other record-keeping duties for these meetings, filing of the annual returns, completion of the data protection filings and any other requisite filings with the statutory authorities in the EMEAI Region.
• working in close sync with the Corporate Secretarial/ paralegal teams based in US and APAC regions.
• partnering with the HR, Corporate Services and Finance teams based in the EMEAI region to manage their requests.
• partnering with the Finance, Treasury and Tax teams and other cross-functional teams to manage the restructuring of entities forming part of MSCI group and document corporate actions such the payment of dividends or other distributions.
• partnering with the Invoicing team to manage the accruals and invoices settlement process.
• liaising with the external legal counsels to ensure that all compliance-related matters are managed and completed within the statutory timelines.
• managing miscellaneous "Know-Your Client" requests and responding to information requests received from Client Services/ RFP teams.
• staying abreast of new laws and legal developments relevant to the jurisdictions in which you perform your responsibilities.
• assisting the Corporate Development team with due diligence requests.
Your skills and experience that will help you excel
• A minimum 5 years' experience is required in handling Corporate- secretarial matters.
• Candidate must have a L.L.B degree and should have completed the Company Secretary (CS) course from the Institute of Company Secretaries of India.
• Strong organizational and time management skills.
• Excellent written and verbal communication skills.
• Ability to work with global internal teams and local counsels.
• Ability to work in a team environment across hierarchies, functions, and geographies and ability to perform under pressure.
• Candidate must be tech savvy.
• Working knowledge of Global Entity Management System (GEMS) and EU Benchmarking experience would be an added advantage.
