Overview
First Citizens seeks an exceptional finance attorney to join our team of driven legal professionals.
In this Counsel position, you will be a member of the Legal team primarily supporting the commercial lending activities of Silicon Valley Bank (a division of First Citizens Bank). You will draw from a deep reserve of experience with complex finance transactions to advise and guide our business units lending activities within our technology, life sciences, and healthcare banking groups. Working with your colleagues in Legal, you will collaborate with colleagues across a spectrum of disciplines, all working at the intersection of finance, technology, and design, to develop and improve commercial lending products tailored to the unique needs of our external clients. You will also be an active participant in evolving the legal support model for our most sophisticated financial products.
Key attributes for success in the position are flexibility, empathy and adaptability, which will allow you to collaborate effectively with colleagues in Legal, the business, and our compliance and risk functions to implement practical, risk-calibrated solutions. A willingness to roll up sleeves to build the operational infrastructure that is part of building a business is also essential.
Candidates located in the New York or San Francisco metropolitan areas are preferred (First Citizens has large office locations in these areas). We will also consider qualified candidates from any US geography.
The base pay for this position is relative to your experience but the range in NYC and California is generally $200,000 to $250,000 per year. This position is eligible for variable compensation, which may be in the form of incentive, bonus, or commission pay. Responsibilities
Providing legal guidance to business units and risk functions regarding a range of financial transactions, including bilateral and syndicated loan facilities within our technology, life sciences, and healthcare banking groups, and other commercial financial products and services.Drafting and negotiating lending agreements while coordinating with internal stakeholders, external clients, and outside counsel.Developing and updating template agreements for structured finance, commercial loan and other financial products.Developing and conducting training for business unit members.Providing meaningful and engaged contributions to the Legal team's ongoing commitment to develop best-in-class practices.Qualifications
Juris Doctor (JD) and at least 6 years of experience At least 6 years of relevant experience (either with a law firm with a distinguished finance practice or in-house)A J.D. from a top tier law school and excellent academic credentialsExposure to a range of sophisticated bilateral and syndicated commercial lending transactions, with exposure to technology, life sciences, healthcare and venture-backed lending a natural plusExperience managing sophisticated commercial lending transactionsExcellent contractual drafting abilityExperience with supply chain finance, receivables finance and/or payables finance a plusProficiency with secured lending, including Article 9 of the Uniform Commercial Code Additional Requirements:
