Job Description
This position is hybrid and require an employee to be on-site in 3 days a week to perform most effectively.
In this position, the Chief Compliance Officer (“CCO”) will serve as a senior executive with broad responsibility for the design, execution, and the day-to-day management of the POSCO Joint Venture (“POSCO JV”) Ethics and Compliance Program (“E&C Program”).
The CCO will ensure the POSCO JV’s E&C Program aligns with United States Sentencing Guidelines and the OFAC’s Framework for OFAC Compliance Commitments, with robust processes and internal controls to promote an ethical culture and compliance with the applicable compliance laws and other applicable laws.
The CCO will have direct line reporting to the Corporation’s Board and dotted line reporting to the POSCO JV’s CEO. The CCO will provide regular updates on the Ethics and Compliance Program to the POSCO JV’s senior management and the Board respectively.
The CCO is expected to:
Play an active and contributing role in defining strategic and tactical directions for the E&C Program for the POSCO JV’s operations
Ensure POSCO JV employees have appropriate standards, training, communication, and mechanisms to report concerns; and that appropriate due diligence, investigations, risk assessments, E&C Program assessments are conducted.
Effectively deal with complex regulatory issues involving multiple government and business parties, negotiating equitable solutions using persuasion and influence to overcome obstacles to successful resolution
Continually monitor business and organizational developments to anticipate compliance issues, and ensure optimal integration of compliance considerations and controls in business planning processes
Keep abreast of regulatory and industry trends, identify, and adopt best practices
Additional Job Description
Work Experience, Managerial and Technical Skills:
Juris Doctor degree from accredited college/ university with 10-15+ years of corporate legal experience or substantial experience in designing and implementing an effective and robust ethics and compliance program from the beginning
Extensive knowledge and experience with anti-corruption, trade compliance (export controls and economic sanctions), antitrust, and anti-money laundering laws
International and multi-cultural management experience
High integrity with strong work ethic
High level of interpersonal skills and ability to handle sensitive and confidential situations discreetly; demonstrated poise, tact, and diplomacy
Strong oral and written communication
Well-developed skills in leadership and people management, influence management, collaboration, direct and respectful communications, proactive engagement on issues
Ability to think and act strategically and tactically. Sound business judgment
Executive presence and experience working in a global company with proven ability to advise and interact with senior leadership

À ce poste, le directeur de la conformité (« CCO ») agira en tant que cadre supérieur avec de larges responsabilités pour la conception, l'exécution et la gestion quotidienne de la coentreprise POSCO (« POSCO JV ») en matière d'éthique et de conformité. Programme (« Programme E&C »).

Le CCO doit :
Jouer un rôle actif et contribuant à la définition des orientations stratégiques et tactiques du programme E&C pour les opérations de la JV POSCO.
Veiller à ce que les employés de POSCO JV disposent des normes, de la formation, de la communication et des mécanismes appropriés pour signaler les préoccupations ; et que la diligence raisonnable, les enquêtes, les évaluations des risques et les évaluations du programme E&C soient menées.
Gérer efficacement des problèmes réglementaires complexes impliquant plusieurs parties gouvernementales et commerciales, en négociant des solutions équitables en utilisant la persuasion et l'influence pour surmonter les obstacles à une résolution réussie.
Surveiller en permanence les développements commerciaux et organisationnels pour anticiper les problèmes de conformité et assurer une intégration optimale des considérations et des contrôles de conformité dans les processus de planification commerciale.
Se tenir au courant des tendances réglementaires et industrielles, identifier et adopter les meilleures pratiques

Expérience professionnelle, compétences managériales et techniques :
Diplôme Juris Doctor d'un collège/université accrédité avec plus de 10 à 15 ans d'expérience en droit des entreprises ou une expérience substantielle dans la conception et la mise en œuvre d'un programme d'éthique et de conformité efficace et robuste dès le début.
Connaissance et expérience approfondies des lois anti-corruption, de conformité commerciale (contrôles des exportations et sanctions économiques), antitrust et anti-blanchiment d'argent.
