The Hartford is seeking an Assistant General Counsel, or Senior Counsel, Employee Benefits. The Assistant General Counsel or Senior Counsel will join a closely knit group of professionals who provide legal support and expertise on all aspects of employee benefits plans, wellness programs, and executive compensation for The Hartford’s employees. You will be part of a larger team of legal professionals who also provide The Hartford’s employment law, immigration and labor law support. This role reports to the Vice President, Head of Employment & Employee Benefits Law; candidates may be considered for this role at the Senior Counsel or Assistant General Counsel level.. This role will have a hybrid work arrangement, with the expecation of working in our Hartford, CT Home office three days a week (Tuesday through Thursday).
Responsibilities:
The Senior Counsel/Assistant General Counsel will work closely both with legal colleagues and partners in Human Resources, Procurement, Enterprise Risk Management, and other stakeholders to provide legal advice and counsel on employee benefits and executive compensation matters. This includes:
Providing legal advice on day-to-day benefit plan questions (including on qualified plan rules, ERISA fiduciary and prohibited transaction rules)
Providing guidance on participant claims, appeals and plan corrections
Participating on project teams, including for RFPs, new benefit offerings, changes in plan design or investments
Reviewing draft plan documents and summary plan descriptions
Advising about notice and disclosure requirements and reviewing employee communications
Researching and advising on benefit plan and executive compensation issues
Negotiating agreements with investment managers, consultants, service providers and other vendors
Providing advice and counsel to fiduciary decision-makers including support of investment committees
Closely monitoring the legislative and regulatory changes and benefits and executive compensation-related litigation
Counseling on Internal Revenue Code Section 409A and provide legal support for non-qualified deferred compensation plans
Providing advice on cash and long term incentive plans, draft documents and opine on administration questions and associated rabbi trusts and similar vehicles
Assisting with the preparation of the annual proxy statement
Qualifications:
At least six years’ relevant legal experience. Large public company experience preferred. Required legal experience includes:
ERISA, qualified plan rules (with a focus on 401(k) plans) and Internal Revenue Code Section 409A issues, qualified plan investments
Benefit claims and appeals, nonqualified plan design and administration,
Executive compensation, including equity plans and awards, and cash incentive programs
Demonstrated judgment and decision-making ability
Track record of a collaborative professional style, with ability to build strong partnerships with colleagues, Human Resources partners and other stakeholders
Strong writing, editing, and oral communication skills
Demonstrated proficiency with Lexis-Nexis, Internet and Legal research, and Microsoft Office suite (MS Word, Outlook, and Excel)
Juris doctorate from accredited law school required
Candidate must be currently admitted to the bar in Connecticut or admitted in one of the 50 states and able to qualify as authorized house counsel in Connecticut
Compensation
The listed annualized base pay range is primarily based on analysis of similar positions in the external market. Actual base pay could vary and may be above or below the listed range based on factors including but not limited to performance, proficiency and demonstration of competencies required for the role. The base pay is just one component of The Hartford’s total compensation package for employees. Other rewards may include short-term or annual bonuses, long-term incentives, and on-the-spot recognition. The annualized base pay range for this role is:
$142,480 - $244,320
The posted salary range reflects our ability to hire at different position titles and levels depending on background and experience.
