Purpose:
This role reports to the Vice President, Legal Reinsurance and is responsible for assisting the Company with diligence, negotiating, and executing M&A transactions, reinsurance transactions and joint ventures and/or minority investments in the life and annuity (re)insurance market across a variety of international jurisdictions, including the U.S., the U.K. and the Asia-Pacific region
Accountabilities:
Draft, review, and negotiate reinsurance term sheets and treaties, collateral agreements and other transaction related documents to support Athene’s growing book of international reinsurance business.
Provide timely and accurate legal analysis of applicable laws and regulations and advise business personnel on the legal and regulatory aspects of life and annuity reinsurance transactions.
Work with various teams, including actuarial, finance and corporate development, to support an active pipeline of life and annuity reinsurance transactions.
Instruct and facilitate external legal counsel, as appropriate, to support Athene’s legal needs. Support ongoing documentation management as well as evaluating ongoing contractual compliance.
Qualifications and Experience:
Qualified lawyer with a minimum of 6 years’ legal experience in a large onshore corporate law firm and/or the legal department of a large financial services company, preferably with substantial M&A experience and knowledge of the life (re)insurance industry and/or asset management business
Experience and expertise in legal, regulatory, and other business issues relating to the negotiation and consummation of strategic corporate acquisitions
Understanding of fundamental principles of financial services group regulations and compliance requirements
Demonstrated track record of drafting, negotiating, and consummating complex transaction agreements such as merger agreements, stock purchase agreements, services agreements, collateral agreements and/or master transaction agreements, with preference to transactions in the life and annuity or asset management sectors
Experience dealing with cross-jurisdictional transactions
Self-motivated with an ability to work independently and successfully in a high-pressure corporate setting and manage multiple projects/priorities in a fast-paced environment
Strong record of academic achievement
Ability to work effectively as a member of a legal team, including with colleagues in other divisions of the Company
Strong work ethic with attention to detail
